凡所謂忠臣者，務明法術，日夜佐主，明於度數之理以治天下者也。姦邪之臣，知法術明之必治也，治則姦臣困而法術之士顯，是故邪之所務事者，使法無明，主無悟，而己得所欲也。故方正之臣得用，則姦邪之臣困傷矣。是方正之與姦邪不兩進之勢也。姦邪在主之側者，不能勿惡也。惟惡之，則必候主閒而日夜危之。人主不察而用其言，則忠臣無罪而困死，姦臣無功而富貴。故《明法》曰：「忠臣死於非罪，而邪臣起於非功。」
